For Rezto Business Partners (Restaurants)

1. General Provisions

This document constitutes a legally binding agreement between Rezto LLC (Company ID: 405754820), operating the restaurant reservation platform "Rezto" (hereinafter the "Platform"), and the food service establishment registered on it (hereinafter the "Restaurant"). By creating an account on the Platform and using the services, the Restaurant fully agrees to the terms and conditions set forth below.

2. Description of Services

Rezto is a restaurant reservation management (SaaS) platform that offers software (a B2B panel) for the digital administration of table bookings to restaurants. The service includes:

  • A custom-branded digital reservation page.
  • Management of customer data and reservations in a unified panel (Dashboard).
  • Integration with third-party global services (including Reserve with Google) to maximize reservations.

3. Registration and Account Security

  • The Restaurant is obliged to provide accurate and up-to-date legal and financial information upon registration.
  • The Restaurant is solely responsible for the security of its own account (passwords).
  • In the event of suspected unauthorized interference with the system or a security breach, the Restaurant must immediately notify Rezto. The Platform reserves the right to suspend the Restaurant's access without prior notice in case of system misuse.

4. Restaurant Obligations and Operational Standards

  • Use of digital channels: The Restaurant is obliged to place the reservation link generated by Rezto on its official social networks and other web platforms as the primary reservation button.
  • Data synchronization: To prevent double bookings (Overbooking), the Restaurant is obliged to continuously update its working hours in the system and enter reservations received through alternative channels (by phone or walk-ins) into the unified Rezto database.

5. Pricing, Payment Terms, and VAT

  • Transparency: Rezto has no setup, hidden, or per-guest (cover) fees. The Restaurant only pays the fee for the selected subscription plan (monthly or annual).
  • Taxes: The subscription prices listed on the Platform do not include Value Added Tax (VAT). If you are a registered business, please enter your country and valid VAT number during registration/payment to avoid additional tax charges. In the absence of a valid VAT number, VAT will be added at checkout in accordance with the legislation of the Restaurant's country of registration.
  • Auto-renewal: The service fee is deducted automatically from the bank card specified by the Restaurant at the beginning of the current billing period, until the cancellation of the contract.

6. Refund and Contract Termination Policy

  • 14-day guarantee: The subscription plan includes a 14-day free trial period. If within the first 14 days of the paid subscription the Restaurant is not satisfied with the service, Rezto will fully refund the paid amount upon request without any additional questions.
  • Subscription cancellation: After the expiration of the 14-day guarantee period, the subscription can be canceled at any time. The cancellation will take effect at the end of the current paid period. The Platform does not refund money for unused days (Pro-rata).
  • Sanctions: In case of financial debt, the Platform reserves the right to suspend the Restaurant's access to the system.

7. Privacy and Data Processing

  • Roles in data processing: When processing the personal data of guests, the Restaurant acts as the "Data Controller", while Rezto acts as the "Data Processor".
  • Data protection: The Restaurant is obliged to protect guest data in accordance with applicable legislation (including GDPR). Rezto does not sell data and does not use the guest database for its own marketing purposes. In order to fully provide the service, Rezto is authorized to share necessary data only with trusted partners (e.g., Reserve with Google).
  • Business data: Rezto collects the Restaurant's legal and financial information solely for the proper functioning of the platform and invoicing.

8. Intellectual Property

  • The Restaurant grants Rezto a non-exclusive right to use its name, logo, and visual materials on the Platform, in partner systems, and in promotional campaigns.
  • Rezto's software, code, design, and algorithms constitute the exclusive intellectual property of the Platform.

9. Limitation of Liability

  • Rezto provides technical support for the Platform, but is not responsible for disruptions caused by external factors (internet providers, third-party services).
  • The Platform assumes no liability and does not compensate for financial losses of the Restaurant caused by guest no-shows or reservation cancellations.
  • Rezto is not responsible for the quality of the service or food provided by the Restaurant to the client.
